Anscor buying more ANS common shares

Euro-Med Laboratories Philippines Inc. (Euro) has 547 stockholders, four of them foreigners. It has authorized capital (ACS) consisting of five billion common shares with P1 par value, according to the company’s 2019 general information sheet (GIS).

Of Euro’s ACS, 543 Filipinos own 4,111,844,354 common shares while four foreigners hold 296,186 common shares for a total of 4,112,140,540 outstanding common shares.

Businessman Emilio Yap is the company’s top stockholder through the companies he and his family control. Among them are U.S. Automotive Co. Inc., holder of 2,401,747,112 Euro common shares, or 58.41 percent, and US Autoco Inc., 855,505,147 Euro common shares, or 20.80 percent.

Philippine Trust Co. was listed as holder of two blocks of Euro common shares. It owns 231,124,845 Euro common shares, or 5.62 percent, and holds in trust 133,986,446 Euro common shares, or 3.26 percent, according to the GIS.

Through these corporate stockholders alone, the Yaps control 88.09 percent of Euro-Med Laboratories.

Emilio C. Yap 3rd was listed in the GIS as holder of 35,695,668 Euro common shares, or 0.87 percent.

On July 1, 2019, Euro common shares were traded at P1.75 each throughout the day’s session. It hit a 30-day high f P2 and dropped to a month’s low of P1.56.

Sta. Lucia’s POR. A public ownership report (POR) as of July 3, 2019 listed the nine-member board of Sta. Lucia Land Inc. (SLLI) as holders of 1,888,999 common shares, or 0.02 percent of 8,196,450,000 outstanding common shares, excluding 2.6 billion treasury shares.

Of SLLI’s outstanding common shares, Sta. Lucia Land’s POR showed Vicente R. Santos as direct owner of 712,494 common shares and indirect holder of 230,000 common shares for total holdings of 945,494 common shares, or 0.01 percent.

Exequiel D. Robles was also listed in the same POR as direct holder of 712,500 SLLI common shares, and indirect holder of 230,000 SLI common shares for total holdings of 942,500 SLLI common shares, or 0.01 percent.

The rest of Sta. Lucia’s directors, except for Simeon S. Cua with direct ownership of 999 SLLI common shares, directly held one nominal SLLI common shares each to qualify them to sit on the board.

Sta. Lucia Land reported in its POR that 10 of the company’s officers did not own a common share. It listed Santos among the company’s executives as the company’s board chairman.

In the same POR, Sta. Lucia Land listed Sta. Lucia Realty & Development Inc. as direct holder of 6,701,005,767 SLLI common shares, or 81.75 percent.

The public stockholders were reported as holders of 1,493,555,234 SLLI common shares, or 18.22 percent, according to a filing submitted by Jennifer Marie Castro, acting corporate secretary.

Additional acquisitions

Anscor Consolidated Corp. (ACC), an unlisted company owned by the Soriano family, bought 306,400 common shares in A. Soriano Corp. (ASC) in 16 trades. At Anscor’s acquisition price of P6.70 each, 306,400 ANS common shares cost the buyer P2,052,880.

The additional acquisitions increased ASC’s ownership to 1,303,374,046 ANS common shares, or 52.13 percent, according to Lawyer Joshua L. Castro, vice president and assistant corporate secretary.

Anscor, according to a filing, is a 100-percent unit of ANS, which means the former is a wholly owned subsidiary of the latter, and not vice versa. This also means a subsidiary of a listed stock may be classified as the parent of such listed stock because as of July 3, 2019, Anscor was listed as “100% owned by A. Soriano Corp.”

ASC’s POR. A public ownership report (POR) as of Dec. 31, 2019 listed 2.5 billion common shares as A. Soriano’s both issued and outstanding common shares.

As of the date of filing, A. Soriano’s POR credited the public with 454,842,264 ANS common shares, or 18.19 percent of 2.5 billion issued and outstanding common shares.

The same POR showed A. Soriano had one direct and indirect stockholder and three direct stockholders. Anscor directly owned 902,172,303

ANS common shares and indirectly held 385,836,343 ANS common shares, for total holdings of 1,288,008,646 ANS common shares, or 51.52 percent.

The POR also showed C&E Property Holdings Inc. with direct ownership of 24,930,611 ANS common shares, or one percent; Edmen Property
Holdings Inc., 27,462,404 ANS common shares, or 1.1 percent; and MCMS Property Holdings Inc., 26,513,928 ANS common shares, or 1.06 percent.

Including Anscor’s ANS holdings, ANS’ four principal stockholders held 1,366,915,589 common shares, or 54.68 percent of 2.5 billion issued and outstanding common shares.
